This agreement is entered into by and between the undersigned individual (the “Interested Party”) and the authorized representative of the business listing identified as Business For Sale Listing No. 0015 (the “Vendor”).

In consideration of being granted access to information related to the possible acquisition of the assets of any business(es) presented to me, and specifically Business For Sale Listing No. 0015. I hereby agree and undertake the following:

1. Confidentiality
   I agree to treat as strictly confidential the identity of the business(es) disclosed to me, along with any operational, financial, or proprietary information provided for evaluation purposes.

2. Acknowledgement of Ownership
   I acknowledge that all financial records, customer and supplier details, and other related information remain the exclusive property of the Vendor. I recognize the confidential and competitive nature of this information, and understand that any unauthorized use or disclosure may cause material harm to the Vendor.

3. Non-Disclosure to Third Parties
   I will not disclose any information obtained about the business or its operations to any third party, except to my accountant or legal advisor who will also be bound by the same terms of confidentiality. I will not disclose or publish any part of the information unless I have received prior written consent from the Vendor.

4. No Direct Contact
   I agree not to contact the Vendor, or any staff, customers, or suppliers of the business without prior written consent. All inquiries shall be made through the appropriate authorized representative as initially designated.

5. Acknowledgment of Introduction
   I acknowledge that the introduction to the business opportunity was made through an authorized intermediary and that any negotiation, offer, or payment of a deposit relating to the business, shares, or assets will be conducted through that representative.

6. Consequences of Circumvention
   If I breach Clause 4 of this agreement and proceed to purchase the business directly or indirectly, I accept full liability for any resulting financial loss, including any commission or fees due to the introducing party.

7. Indemnity Clause
   If I breach Clauses 1, 2, or 3 of this agreement, I agree to indemnify and hold harmless the introducing party and the Vendor from any claims, costs, or legal actions that arise as a result of such breach.

8. Purpose of Information
   I confirm that all information received will be used solely for the purpose of evaluating the investment potential of the business.

9. Return of Information
   If I decide not to pursue the opportunity, I agree to immediately return all physical materials received and to delete all digital information, including emails and attachments, without retaining any copies.

10. Electronic Acceptance
    This agreement may be executed and accepted via electronic signature and/or email. Such transmission shall be legally binding and satisfy the requirements of the Electronic Commerce Act of 2000.
